Program overview
This 4-day seminar aims to understand the major decisions in financial policy to finance the company's growth, the principal financial operations (capital increase, capital reduction, debt issuance, fundraising, LBOs, mergers, acquisitions), and to implement them following a rigorous and proven methodology.

The program is aimed at:
Executives working in banks and financial institutions, entrepreneurs, business leaders, management controllers, treasurers, risk managers, auditors, accountants, legal experts.
Prerequisites:
It is necessary to have a minimum level of knowledge in accounting, particularly concerning the various financial statements of the company (income statement, balance sheet, and cash flow statement), as well as sufficient knowledge of financial analysis and business valuation.

Understanding why and how a company finances itself through equity and/or debt and the importance of financial policy.
Conducting a capital increase or fundraising.
Choosing between different forms of debt.
Understanding the process of mergers and acquisitions and mastering the financial stakes of external growth.
Analyzing and structuring a Leveraged Buyout (LBO) operation
Program
Equilibrium market theory, mandate theory, agency theory, impact of taxation, growth-control dilemma, the importance of financial communication.
Pre-money value, post-money value, preferential subscription rights, fundraising, the role and expectations of an investment fund.
Different forms of debt: senior, subordinate, hybrid, unitranche, convertible bonds.
Structuring an operation, different stakeholders, 'manpack', 'ratchet' clause.
Synergies, due diligence, asset and liability warranties, earn-out, price adjustments.

The teaching team consists of seasoned practitioners in corporate finance and affiliated professors within the HEC Paris Group, enabling each participant to benefit from a high level of technical and pedagogical expertise.
